1. Acceptance of Terms

Welcome to OnePATH. By accessing or using the OnePATH platform, mobile application, or any related services (collectively, the “Services”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, do not access or use the Services.

These Terms apply to all users of the Services, including individuals who create accounts as patients, caregivers, or healthcare providers. Your continued use of the Services constitutes acceptance of any updates to these Terms.

2. Description of Services

OnePATH is a personal health management platform that enables users to:

  • Store, view, and manage personal health records and documents
  • Track health metrics, fitness goals, and wellness activities
  • Connect with healthcare providers and coordinate care
  • Share health information with authorized family members and dependents
  • Communicate with providers and care network members via secure messaging
  • Access AI-powered health guidance and resources
  • Manage appointments, medications, and calendar events

OnePATH is not a medical provider and does not provide medical advice, diagnosis, or treatment. All health information on the platform is for personal management and informational purposes only. Always consult a qualified healthcare professional regarding any medical conditions or treatment decisions.

3. Eligibility

You must be at least 18 years of age to create an account on OnePATH. By creating an account, you represent and warrant that:

  • You are at least 18 years old, or the parent or legal guardian of a minor for whom you are registering
  • You have the legal authority to enter into these Terms
  • All information you provide during registration is accurate and complete
  • You will maintain the accuracy of your account information

4. Account Registration and Security

To use most features of the Services, you must register for an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Keep your password confidential and not share it with others
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activity that occurs under your account

OnePATH reserves the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

5. Health Information and HIPAA

OnePATH takes the privacy and security of your health information seriously. To the extent that we function as a Business Associate under the Health Insurance Portability and Accountability Act (“HIPAA”), we comply with applicable HIPAA requirements regarding Protected Health Information (“PHI”).

By using the Services, you understand and acknowledge that:

  • You control what health information you upload, store, and share through the platform
  • You grant OnePATH a limited license to process your health information solely to provide the Services
  • Sharing health information with providers or family members is done at your direction and consent
  • You should review our Privacy Policy for full details on how we handle your health data

6. Acceptable Use

You agree not to use the Services to:

  • Upload false, misleading, or fraudulent health information
  • Impersonate another person or healthcare provider
  • Violate any applicable law, regulation, or third-party rights
  • Transmit harmful code, malware, or disruptive content
  • Attempt to gain unauthorized access to any part of the Services or other users' accounts
  • Scrape, harvest, or collect information from the Services without authorization
  • Use the Services for any commercial purpose without our prior written consent
  • Harass, threaten, or harm other users of the platform

We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including suspending or terminating access.

7. AI-Powered Features

OnePATH uses artificial intelligence to provide health guidance, document analysis, and personalized recommendations (the “AI Features”). By using the AI Features, you acknowledge that:

  • AI-generated content is informational only and does not constitute medical advice
  • AI outputs may contain errors and should not replace professional medical judgment
  • You should always verify AI-generated information with a qualified healthcare provider
  • OnePATH is not liable for decisions made based solely on AI-generated content

8. Dependents and Shared Access

OnePATH allows you to add and manage dependents (such as children or family members) and share health access with other platform users. By enabling shared access, you represent that:

  • You have the legal authority to manage health information for any dependent you add
  • You are granting appropriate levels of access to the individuals you authorize
  • You understand that shared access can be revoked at any time through your account settings

9. Intellectual Property

All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, and software — are the exclusive property of OnePATH or its licensors and are protected by applicable intellectual property laws.

You retain ownership of any health data and personal content you upload to the Services. You grant OnePATH a non-exclusive, royalty-free license to store, display, and process your content solely to provide and improve the Services.

10. Third-Party Integrations

OnePATH may integrate with third-party services, including wearable devices, electronic health record systems, laboratory providers, and pharmacy networks. Your use of third-party integrations is subject to the terms and privacy policies of those third parties. OnePATH is not responsible for the practices or content of third-party services.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ONEPATH DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ONEPATH DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ONEPATH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

IN NO EVENT SHALL ONEPATH'S TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless OnePATH and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of another person or entity; or (d) any health information you upload, share, or transmit through the Services.

14. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. OnePATH may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. Upon termination:

  • Your right to access the Services will immediately cease
  • You may request export of your health data prior to account deletion
  • Provisions of these Terms that by their nature should survive termination will remain in effect

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved by binding arbitration conducted in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

16. Changes to These Terms

OnePATH reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the platform and updating the effective date above. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.
